Terms of Service

Last updated October 17, 2026

The agreement

These Terms are an agreement between KaosDesk L.L.C., an Indiana limited liability company ("KaosDesk," "we"), and the organization that signs up for KaosDesk (the "Customer," "you"). By creating a workspace or using the service, you agree to these Terms. If you sign up on behalf of an organization, you confirm you have authority to bind it.

Our Privacy Policy is part of these Terms and explains how we handle data. If you sign a separate order form or data privacy agreement with us, that document controls where it conflicts with these Terms.

Who can use KaosDesk. KaosDesk is for organizations, not individual consumers. Account administrators must be at least 18. Your organization decides who else may use your workspace, including whether students may sign in.

Your data

You own your data. Everything you and your users put into KaosDesk ("Customer Data") belongs to you. These Terms do not give us any ownership of it.

Our limited permission. You allow us to store, process, and display Customer Data only as needed to provide, secure, and support the service for you. We will not sell it, use it for advertising, or use it to train public AI models.

Export. You can export your Customer Data at any time while you are a Customer, with no import or export fees.

Feedback. If you send us suggestions, we may use them to improve KaosDesk without owing you anything. Feedback never includes your Customer Data.

Your responsibilities

You are responsible for:

  • Who you give access to, and what they do in your workspace
  • Keeping passwords and sign-in methods secure, and telling us promptly about any unauthorized access
  • Having the right to put Customer Data into KaosDesk, including any consents required by law (for example, for student data)
  • Only installing the KaosDesk agent on devices your organization is authorized to manage

Acceptable use. You agree not to:

  • Break the law, or use KaosDesk to store or send unlawful content
  • Try to access another Customer's data, or get around security or usage limits
  • Upload malware, or attack, overload, or disrupt the service
  • Copy, resell, or reverse-engineer KaosDesk, except where the law allows
  • Use remote management or remote desktop to access, monitor, or control any device without authorization

Service availability

We will use commercially reasonable efforts to keep KaosDesk available, secure, and working as described. We do not currently offer a guaranteed uptime percentage.

  • Maintenance. We give advance notice of planned maintenance that may interrupt the service, and schedule it outside normal business hours where we can.
  • Backups. We back up the service every 24 hours and keep backups as described in our Privacy Policy. Backups exist for disaster recovery; your own exports are the best way to keep a copy you control.
  • Things outside our control. We are not responsible for outages caused by events beyond our reasonable control, such as major internet or provider failures, natural disasters, or attacks we could not reasonably prevent.

Fees and billing

  • Fees. You agree to pay the fees for your plan, as shown on our pricing page or your order form.
  • Price changes. We never raise prices in the middle of a paid term. For monthly plans, we give at least 30 days' notice before a new price applies to your next billing period.
  • Taxes. Fees do not include taxes. Tax-exempt organizations, such as public schools, can provide an exemption certificate.
  • Late payment. If an invoice is unpaid more than 30 days after its due date, we may suspend the service after giving written notice. Your data is not deleted because of a suspension.

Term, cancellation, and your data

  • Term. These Terms apply for as long as you use KaosDesk. Monthly plans renew each month and annual plans each year, unless cancelled.
  • Cancelling. You can cancel at any time. Cancellation takes effect at the end of your current paid period.
  • If we end the agreement. We may end or suspend your access if you seriously breach these Terms and do not fix the problem within 30 days of written notice, or immediately if needed to stop an active security threat or comply with the law.
  • After cancellation. Your administrators have 14 days to export Customer Data. After that, access ends, your data is removed from our live systems, and remaining backup copies are deleted within 30 days, except as described in our Privacy Policy (for example, a legal hold).
  • If KaosDesk shuts down. We will give Customers at least 90 days' notice and keep export available during that time.

Beta and preview features

Some features are labeled "beta," "early preview," or "in development." You can choose whether to use them. They may change, have bugs, or be removed, and the availability commitments above do not apply to them. Your data in a beta feature is protected the same way as all other Customer Data.

Confidentiality, security, and privacy

  • Confidentiality. Each of us will keep the other's non-public information confidential and use it only for this agreement. Customer Data is always your confidential information.
  • Security. We protect Customer Data with the measures described in our Privacy Policy, including tenant isolation, role-based access, audit history, and HTTPS on every connection.
  • Support access. KaosDesk staff access your workspace only with your approval, documented in a ticket and recorded in your audit history.
  • Breaches. We notify you within 72 hours of confirming unauthorized access to your Customer Data.
  • Student data. Where you are a school or district, we act as a school official under your direct control and follow FERPA, COPPA, and applicable state student-privacy laws.

Warranties and liability

  • What we promise. KaosDesk will work substantially as described in its documentation, and we will provide it with reasonable care and skill.
  • What we do not promise. Apart from that, the service is provided "as is." We do not promise it will be uninterrupted or error-free, to the extent the law allows us to say so.
  • Limit of liability. Each party's total liability under these Terms is limited to the fees you paid KaosDesk in the 12 months before the claim. Neither party is liable for indirect or consequential losses, such as lost profits.
  • Indemnity. We will defend you against claims that KaosDesk infringes someone else's intellectual property. You will defend us against claims arising from Customer Data you did not have the right to use, or from misuse of the service in breach of these Terms.

Governing law, changes, and contact

  • Governing law. These Terms are governed by the laws of the State of Indiana. Any dispute will be handled in the state or federal courts serving St. Joseph County, Indiana.
  • Changes to these Terms. If we make a material change, we will email Customers at least 30 days before it takes effect. Changes never apply to the middle of a prepaid term without your agreement.
  • Assignment. Neither party may transfer this agreement without the other's consent, except as part of a merger or sale of the business, with notice.
  • Notices. Legal notices to KaosDesk go to [email protected]. A mailing address for formal notices is available on request. Notices to you go to your account administrator's email.
  • Contact. Questions about these Terms: [email protected].
